JAGGAER’s Data Processing Addendum

The EU General Data Protection Regulations (“GDPR”) and JAGGAER’s Data Processing Addendum for Customers

To facilitate our customers’ compliance with requirements under GDPR for contracts between entities involved in processing personal data, JAGGAER is providing all customers with a Data Processing Addendum (the “Customer DPA”) to their primary subscription agreement (or other written agreement) with JAGGAER. The Customer DPA contains all the terms and commitments required by GDPR for compliant contracts between controllers and processors or processors and sub-processors. It is specifically tailored to JAGGAER’s platform, applications and services, and, when executed, modifies your primary subscription agreement (or other written agreement) to align with the GDPR.

Who needs to execute JAGGAER’s Customer Data Processing Addendum?

In general, a customer should execute the Customer DPA if it: (i) has an establishment in the European Union, regardless of whether the processing takes place in the EU or not, (ii) offers goods or services, irrespective of whether payment is required, to data subjects in the EU or (iii) monitors the behavior of data subjects that takes place within the EU.

Executing the JAGGAER Customer Data Processing Addendum

To execute the DPA, click on the link above and the DPA will automatically open in DocuSign. Complete the required information as indicated by DocuSign and, if you are an authorized signatory for your organization, sign where indicated.

You will be prompted to complete the following fields:

• Complete the information and sign in the ‘Client’ signature box on page 5.
• Complete the information as the ‘Client’ on page 7.
• Complete the information and sign as the ‘Client’ on page 15
• Complete the information and sign as the ‘Client’ on page 17.
• Complete the information and sign as the ‘Data Exporter’ on page 29.

When you click ‘submit’, JAGGAER will automatically receive a copy of the completed and signed document.

If digital signatures are not accepted in your jurisdiction, simply download the Customer DPA, complete and sign the sections described above and email to dg_dataprocessingaddendum@jaggaer.com

Upon JAGGAER’s receipt of the fully completed and signed Customer DPA, it will be reviewed and sign by JAGGAER. We will send executed DPA to the email address you provided in the signature box.

JAGGAER’s Data Processing Addendum for Service Providers

To facilitate JAGGAER’s and our customers’ compliance with requirements for contracts between entities involved in processing personal data in connection with GDPR, JAGGAER is requiring all service providers processing personal data on JAGGAER’s behalf to execute a Service Provider Data Processing Addendum (“Service Provider DPA”) with JAGGAER. Just as the Customer DPA sets forth our responsibilities toward our customers, the Service Provider DPA sets forth the responsibilities of our service providers to process personal data only in a manner that is consistent with JAGGAER’s policies, our responsibilities toward our customers, our responsibilities to our employees and all applicable laws, including GDPR.

Service Providers will be required to sign the Service Provider DPA when registering in Total Supplier Manager, JAGGAER’s supplier management software that we utilize for our own business operations.
